Foreword

For generations, the KAISER GROUP has been recognised far beyond the industry as an honest, fair and reliable family-run business. The trust that our business partners place in us and our products is based on these values. We will never jeopardise this reputation. We have drawn up this Code of Conduct to ensure that we all live up to our self-image and the responsibilities that come with it, and to protect both the company and ourselves from the consequences of unlawful conduct. It is based on the ZVEI Code of Conduct, to which we are signatories.

Our Code of Conduct forms the basis for all our business activities and provides us all with binding rules governing our business conduct. We expect all members of the KAISER GROUP to identify with it and to make the Code of Conduct a binding guideline for their professional conduct at all times.

Preamble

The KAISER GROUP is fully committed to its social responsibility across the entirety of its business activities. Over more than 120 years, we have developed into one of Europe’s leading brands for electrical installation products and systems. The understanding of corporate and social responsibility that has guided our family-run business for three generations is one of the key foundations of this success. However, our success is also based on shared ethical principles that shape our actions at all our sites across Europe. Mutual trust and reliability towards our employees, market partners and suppliers form an important foundation within our Group for achieving our common goals. Through the motivation and expertise of our workforce at home and abroad, as well as through innovative, high-quality products, we aim to remain one step ahead of the industry with strong ideas and solutions. The Code of Conduct is intended to convey the principles that define our identity as a family-owned business and to serve as a guide for productive, trust-based cooperation amongst all employees, as well as with our customers and service providers. We firmly trust that everyone working for the KAISER GROUP will actively embody these rules of conduct and make them the benchmark for their daily actions.

Our mission statement

The Code of Conduct is based on a fundamental understanding of socially responsible corporate governance. For us, this means that we take responsibility by considering the consequences of business decisions and actions from economic, technological, social and environmental perspectives. Within the scope of its respective capabilities and scope of action, the KAISER GROUP voluntarily contributes to the well-being and sustainable development of society in the countries in which it operates. In doing so, we are guided by universally recognised ethical values and standards, as well as respect for human dignity. KAISER stands, in particular, for the values of justice, reliability, openness, tolerance and honesty.

Scope

This Code of Conduct applies to all KAISER GROUP sites, as well as to all individuals and companies that represent the group or work for it as service providers and suppliers.

The KAISER GROUP requires all business partners to also adhere to the principles of our Code of Conduct and to make them the basis of their business relationships with us. We expect them to abide by comparable rules of conduct and to promote these among their suppliers and throughout the wider value chain, within the scope of their respective capabilities and scope of action.

Our principles

The KAISER GROUP actively works to ensure that the values and principles set out below are consistently observed and adhered to:

Compliance with legislation

Our employees are personally responsible for ensuring compliance with applicable laws, other legal regulations and social norms in the countries in which we operate. In countries with a weak institutional framework, we carefully assess which good corporate practices from our home country can be applied to support responsible corporate governance. Where the KAISER Code of Conduct sets out stricter requirements than the relevant national law, our Code of Conduct shall apply.

Our values

The KAISER GROUP bases its actions on universally recognised ethical values and principles, in particular integrity, honesty, respect for human dignity, openness and non-discrimination on the grounds of religion, belief, gender or ethnicity.
Furthermore, we oppose corruption in any form. Our employees must not accept or offer any form of advantage. We consistently advocate for transparency, acting with integrity, and responsible management and oversight across all our companies.
We pursue sound and recognised business practices and fair competition. All companies within the KAISER GROUP align their competitive conduct with legal and ethical principles, professional behaviour and high-quality work. Collusion with competitors that leads to a restriction of competition is prohibited. We maintain a cooperative and trusting relationship with the regulatory authorities.

Contract award

When procuring goods and services, only objective criteria must be taken into account. Personal interests must not influence the awarding of contracts. The offering or acceptance of benefits of any kind is strictly prohibited. Any benefits offered must be declined and reported to a line manager.

Grants

Employees must not, as a general rule, accept gifts or inappropriate invitations from a business partner. The only exceptions are gifts of negligible value, such as promotional items, or appropriate gifts of a representative nature. Gifts may only be accepted if they are appropriate and no consideration is expected in return. To avoid even the appearance of unlawful conduct, employees should consult their line manager or the relevant departments in cases of doubt.

Our suppliers

Contracts must be awarded to suppliers who, in addition to their legal obligations, expressly acknowledge the rules of our Code of Conduct.

Our customers

We are committed to a reliable, fair and trusting relationship with our customers. To ensure we can offer them high-quality products, outstanding service and good value for money, we constantly review and improve our production processes and services.

Consumer interests

The KAISER GROUP strictly adheres to consumer protection regulations and to appropriate sales, marketing and information practices.

Communication

The companies within the KAISER GROUP communicate openly and in a dialogue-oriented manner regarding the requirements of this Code of Conduct and its implementation to employees, customers, suppliers and other stakeholders and interested parties. All documents and records are drawn up in accordance with regulations, are not altered or destroyed in any unfair manner, and are stored appropriately. Our business records must always be reliable. Trade secrets and business information belonging to our partners are treated with sensitivity and confidentiality.

Data protection

In accordance with the General Data Protection Regulation, we treat all personal data as strictly confidential. The collection, processing, use or disclosure of personal data is only permitted if this is necessary to achieve legitimate and clearly defined purposes and the data subjects have given their consent. It must always be ensured that third parties do not have access to this data.

Trade secrets

Trade secrets, such as financial data, production and machinery know-how, design documents, inventions and business strategies, must always be treated as confidential. This also includes documents provided to us by business partners.

Human rights

We attach great importance to international human rights. We strictly adhere to the human rights set out in the UN Charter of Human Rights and are committed to their protection and promotion. This includes assessing the impact of our business activities in advance and ensuring that neither we nor our suppliers and service providers are involved in human rights violations. We expect everyone to respect and uphold these inalienable human rights.

Privacy

We also ensure the protection of our employees’ personal dignity and privacy. Interactions amongst colleagues should be characterised by mutual trust through open communication. Managers are also expected to demonstrate respect, act as role models, be reliable and possess good interpersonal skills.

Health and Safety

Our staff are our greatest asset. We take particular responsibility for safeguarding their health and safety and ensure a safe and healthy working environment to prevent accidents and injuries. Health and safety regulations must be strictly adhered to by all those involved.

Nuisance

Abuse, corporal punishment, sexual, psychological, physical or verbal harassment or abuse, and discrimination are strictly prohibited and will be punished.

Freedom of expression

All employees have a fundamental right to freedom of opinion and freedom of expression.

Working conditions

The KAISER GROUP strives to provide a good working environment for all its employees and adheres to the core labour standards of the International Labour Organisation (ILO), which can be viewed in detail via the following link:

This also includes the prohibition of child labour, all forms of forced labour and human trafficking, discrimination in employment and occupation, and respect for workers’ rights. All companies within the Group comply with the applicable labour standards regarding maximum permitted working hours.

Our environmental commitment

The KAISER GROUP complies with all environmental protection regulations and standards applicable to each location, operates in an environmentally responsible manner and avoids risks to people and the environment. We use natural resources responsibly, promote the development of environmentally friendly technologies and are constantly working to improve the environmental performance of our products.

Implementation and enforcement

The KAISER GROUP makes every reasonable effort to continuously implement and apply the principles and values set out in this Code of Conduct. Managers are required to inform staff of the objectives of the Code and to ensure compliance with its provisions. Misconduct can almost always be avoided by seeking advice at an early stage. If employees are unsure about the applicable requirements or whether their conduct is legally and ethically sound, they are expected to consult their line manager or the relevant department (e.g. Human Resources or Finance). Suspected or actual breaches of the law or the Code of Conduct must be reported to the line manager and, where applicable, to a designated body.
Business partners, associations and other stakeholders will, upon request, be provided with a report on the key measures in place, so that it is clear how compliance is generally ensured. There is no entitlement to the disclosure of trade and business secrets, competition-related information or other information worthy of protection.
